We are grateful for those relationships and take them seriously.

This page outlines our standard subcontractor agreement terms, insurance requirements, and payment structure — and provides a form for new partners to submit their information or for existing partners to update their certificates of insurance.

Annual Insurance Certificates Required — No Exceptions

Per § 5 of the Subcontractor Agreement, all trade partners must maintain and provide current certificates of insurance prior to commencing work on any MCM project. Certificates must be renewed annually and submitted to MCM before expiration.

General Liability

Minimum $1,000,000 per occurrence / $2,000,000 aggregate. Certificate holder and additional insured must be listed exactly as:

Workers' Compensation

Statutory limits as required by the Commonwealth of Kentucky. Required regardless of whether the Subcontractor has employees.

Failure to maintain required insurance is grounds for immediate termination of the Agreement per § 11.

Standard Subcontractor Agreement

The following is a summary of the standard terms contained in all Morreau Construction Management subcontractor agreements. Trade-specific scope of work is defined in Exhibit A of each individual agreement.

This summary is provided for informational purposes. The executed agreement governs in all cases. Subcontractors are encouraged to review the full agreement with their own legal counsel.

§ 1 — Scope of Work
All work shall be performed per the Construction Documents, Exhibit A (trade-specific scope), and any approved Change Orders. Subcontractor provides all labor and equipment unless otherwise specified in writing. Subcontractor shall coordinate material delivery schedules with MCM.
§ 2 — Contract Documents
The Contract Documents consist of the Subcontractor Agreement, all Exhibits attached, the Construction Documents, and any approved Change Orders. All work shall be provided per the standards and specifications contained therein.
§ 3 — Time of Performance
Time is of the essence. Subcontractor shall commence work on the date specified and complete all work by the Completion Date. Subcontractor shall coordinate scheduling with MCM and other trades on site. Any delays shall be communicated immediately to MCM project management.
§ 4 — Contract Sum and Payment
Payment shall be made upon invoice submission and inspection of completed work. A 10% retainage shall be held until final completion and inspection. Final payment shall be made within 30 days of project closeout and is contingent upon receipt of a signed lien waiver and owner sign-off. All invoices must include W-9 tax identification and reference the project address. No payment shall be made for work not in accordance with the Contract Documents or that is deficient in quality or completion timeline. Payments are processed on Fridays on a pay-when-paid basis.
§ 5 — Insurance Requirements
Subcontractor shall maintain comprehensive General Liability insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 aggregate. Workers' Compensation insurance shall meet all statutory requirements for the State of Kentucky. Subcontractor shall provide proof of current insurance (certificates of insurance) prior to commencing work. MCM shall be named as an additional insured on the General Liability policy. Annual renewal certificates are required regardless of whether the Subcontractor has employees.
§ 6 — Indemnification
Subcontractor shall indemnify and hold harmless MCM, Owner, and their respective agents and employees from all claims, damages, liabilities, and expenses (including attorney's fees) arising out of or resulting from the Subcontractor's performance or failure to perform the Work.
§ 7 — Subcontractor's Responsibilities
Subcontractor shall: (a) Maintain a clean and safe work site; (b) Protect existing structures and property; (c) Coordinate with other trades; (d) Comply with all applicable laws and building codes; (e) Obtain all required permits for their trade; (f) Perform work in a professional and workmanlike manner; (g) Respond promptly to MCM requests and inspections.
§ 8 — W-9 Compliance
Subcontractor shall provide a completed Form W-9 prior to first payment. Subcontractor certifies that they are an independent contractor and are responsible for all self-employment taxes and workers' compensation insurance.
§ 9 — Changes in the Work
No changes to the scope of work shall be made without a written Change Order signed by both MCM and Subcontractor. Change Orders shall specify the nature of the change, impact on the Contract Sum, and schedule impact. Verbal changes are not authorized and will not be paid.
§ 10 — Warranties
Subcontractor warrants that all work shall be performed in a professional and workmanlike manner in accordance with industry standards and the Contract Documents. All materials shall be new, of good quality, and properly installed. Subcontractor shall provide a twelve (12) month workmanship warranty on all work and materials from the date of substantial completion. Defects shall be repaired or replaced at Subcontractor's expense within 10 business days of notice.
§ 11 — Termination
MCM may terminate this Agreement immediately if: (a) Subcontractor fails to maintain required insurance; (b) Work is not progressing per schedule; (c) Work is deficient in quality; (d) Subcontractor fails to comply with applicable laws. Upon termination, Subcontractor shall immediately cease work, remove equipment and materials, and cooperate in transition to another contractor. Payment shall be made only for work satisfactorily completed through the termination date.
§ 12 — Dispute Resolution
This Agreement shall be governed by the laws of the Commonwealth of Kentucky. Any disputes shall first be resolved through good faith negotiation. If negotiation fails, the parties agree to mediation before pursuing litigation. Mediation shall be conducted in Paducah, Kentucky.
§ 13 — Miscellaneous
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations. Modifications must be in writing and signed by both parties. If any provision is found to be unenforceable, the remaining provisions shall continue in effect. Neither party may assign this Agreement without written consent of the other party.

Pay-When-Paid

Subcontractor payments are made on a pay-when-paid basis, contingent on receipt of payment from the Owner per the primary contract.

Friday Processing

Invoiced payments are processed on Fridays. Invoices must include W-9 tax identification and reference the project address.

10% Retainage

A 10% retainage is held until final completion and inspection. Final payment requires a signed lien waiver and owner sign-off.
